Terms governing access to and use of PAS documentation and record-organization services.

1. Overview
These Terms of Service govern your access to and use of Procedural Archive Systems (PAS) services, including the website, portal, documentation tools, timeline outputs, evidence bundles, and related services. By submitting an intake or using PAS services, you agree to these terms.
2. Nature of Services
PAS provides neutral documentation and record-organization services only. PAS receives client-submitted records, organizes them into structured timelines, labels and indexes records, maintains active files on a subscription basis, produces recurring documentation outputs, and provides exports and archive options where included. PAS does not inspect, approve, certify, determine compliance, provide legal advice, provide professional advice, make findings, verify truth beyond submitted record handling, guarantee outcomes, or act as a law firm, consultant, adjuster, auditor, or regulator.
3. Subscription and Billing
PAS services are provided on a subscription basis. Subscriptions are billed monthly. An onboarding fee applies to each plan and is due upon commencement of services. Monthly record allowances and update cycles do not roll over. PAS reserves the right to adjust pricing with reasonable notice to active subscribers.
4. Scope of Work
The scope of each matter is defined during the intake and onboarding process. PAS organizes only the records and matters within the agreed scope. Unrelated, unusually complex, or operationally heavy matters may require revised scope or custom pricing. PAS will communicate scope changes before proceeding.
5. Client Responsibilities
You are responsible for the accuracy and completeness of records you submit to PAS. PAS organizes submitted records as provided and does not verify the truth, accuracy, or legal sufficiency of any submitted material. You represent that you have the right to submit all records provided to PAS.
6. Deliverables
PAS produces documentation outputs as specified in your plan, including Timeline Reports (PDF), Source Index or Master Index, Evidence Bundles (ZIP) where included, and archive or retention options where applicable. Deliverables are provided for your use and review. PAS makes no representation about the legal sufficiency or admissibility of any deliverable.
7. Confidentiality
PAS restricts access to your records and documentation to personnel working on your matter. PAS does not share your records with third parties except at your direction for an authorized export or share format. PAS takes reasonable measures to protect the confidentiality of submitted records.
8. Limitation of Liability
PAS is a neutral documentation service. It does not guarantee any outcome, legal result, payment, or case resolution. PAS's liability is limited to the fees paid for the specific services at issue. PAS is not liable for indirect, consequential, or incidental damages arising from use of its services.
9. Termination
Either party may terminate the subscription with reasonable notice. Upon termination, PAS will provide a final export of your documentation package in the agreed format. PAS retains records for a reasonable period following termination unless deletion is requested.
10. Governing Law
These Terms are governed by the laws of the province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising from these Terms or PAS services will be resolved in the courts of Ontario.
11. Changes to Terms
PAS may update these Terms from time to time. Material changes will be communicated to active clients. Continued use of PAS services following notice of changes constitutes acceptance of the updated Terms.
